1. Acceptance of Terms

By creating an account, accessing, or using Catlok (available at catlok.shop, app.catlok.shop, or any merchant storefront subdomain), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

Catlok provides a Google Sheets synchronization feature allowing merchants to edit products in Google Sheets:

• Authorized Scope: You authorize Catlok to create and update a dedicated Product spreadsheet inside your Google Drive using the narrow drive.file scope.
• Runtime Source of Truth: Google Sheets is an external catalog editing interface; PostgreSQL remains Catlok's canonical runtime database for your storefront.
• Merchant Responsibility: You are solely responsible for data, prices, SKUs, and image URLs entered in your Google Sheet. Catlok synchronizes valid rows and reports row-level errors for malformed entries (e.g. invalid prices or duplicate SKUs).
• No Hard Deletes: Removing a row in Google Sheets archives the product in Catlok to preserve your order and enquiry history; it is not permanently deleted.
• Disconnection: You can disconnect Google Sheets at any time without deleting your existing catalog items.

Catlok provides monthly and custom subscription plans (such as Starter and Pro) for merchant store operations:

• Subscription Fees: Plan fees are billed in advance on a recurring monthly or specified billing period. All prices are listed in your selected store currency (e.g., INR).
• Payment Provider: Subscription transactions are processed via Razorpay. You agree to provide valid payment details and authorize automated renewals.
• Plan Entitlements: Each plan grants access to specific features, category limits, and product capacities (e.g. up to 150 products on Starter). Synchronization or uploads exceeding your plan limit will require an upgrade to Pro.
• Upgrades & Proration: When upgrading your subscription plan, the remaining value of your active period is credited and prorated toward your new plan.
• Cancellations: You may cancel auto-renewal at any time from your dashboard under Billing. Your store remains active until the end of the current paid billing cycle.
• Zero Sales Commission: Catlok does not charge commissions on customer orders or WhatsApp sales generated through your catalog.

4. Merchant Accounts & Security

When you register as a merchant on Catlok:

• You must provide accurate, current, and complete registration information.
• You are responsible for safeguarding your login credentials and for all activities published under your merchant subdomain (e.g. [store].catlok.shop).
• You must comply with all applicable local, national, and international trade, commercial, and consumer protection laws.

5. Acceptable Use & Prohibited Products

You agree not to list or facilitate sales of prohibited goods, including:

• Illegal drugs, prescription substances without license, or counterfeit items.
• Weapons, explosives, hazardous chemicals, or restricted animal products.
• Fraudulent schemes, misleading pricing, or deceptive marketing.
• Content that infringes on third-party trademarks, copyrights, or privacy rights.
• Hate speech, harassment, or defamatory material.

6. Intellectual Property & Catalog Content

Your Content: You retain all ownership and copyright to your product photos, logos, and descriptions. You grant Catlok a worldwide, non-exclusive license to host, format, and display this content to operate your online catalogue.

Catlok IP: Catlok's platform software, branding, UI designs, codebases, and algorithms remain the exclusive property of Catlok.

7. WhatsApp & Messaging Services

Catlok provides WhatsApp enquiry links for direct customer engagement. Catlok is an independent software provider and is not affiliated with or endorsed by WhatsApp LLC or Meta Platforms, Inc. You are responsible for adhering to WhatsApp's Business Messaging Policies.

8. Disclaimer of Warranties & Limitation of Liability

Catlok is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, Catlok disclaims all warranties, express or implied. Catlok is not liable for indirect, incidental, or consequential damages resulting from business interruption, lost profits, or data loss.

9. Termination

Catlok may suspend or terminate accounts that violate these Terms or engage in fraudulent activities. You may terminate your account at any time by contacting support.
